Acceptance of Terms

These Terms of Service (Terms) constitute a legally binding agreement between you (Client, you, or your) and Zi Mu Network Technology Co., Ltd. (广州咨木网络科技有限公司), referred to herein as Zi Mu, we, us, or our.

By accessing our website at https://www.zimunet.buzz (the Site), engaging our services, or entering into a project agreement with us, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Site or our services. We recommend reviewing these Terms periodically, as they may be updated from time to time.

Description of Services

Zi Mu provides computer systems design, software development, digital consulting, and related technology services (collectively, the Services). The specific scope, deliverables, timeline, and fees for any engagement shall be defined in a separate written agreement, statement of work (SOW), or proposal executed by both parties.

We reserve the right to modify, suspend, or discontinue any aspect of the Site or our service offerings at any time. For ongoing client engagements, material changes to scope or deliverables will be communicated and mutually agreed upon in writing before implementation.

Intellectual Property

Our Intellectual Property

All content on the Site, including but not limited to text, graphics, logos, icons, images, code, and the overall design, is the exclusive property of Zi Mu or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from Site content without our prior written consent.

Project Deliverables

Ownership of deliverables created during a client engagement shall be governed by the terms of the applicable project agreement. Unless otherwise specified in writing, Zi Mu retains ownership of all pre-existing intellectual property, tools, frameworks, and methodologies used in delivering the Services. Upon full payment, the Client receives a perpetual, non-exclusive license to use the deliverables for their intended business purpose.

User Obligations

When using the Site or our Services, you agree to:

  • Provide accurate, complete, and current information as reasonably requested for project execution.
  • Use the Site and Services only for lawful purposes and in compliance with all applicable laws and regulations.
  • Not engage in any activity that disrupts, damages, or impairs the functionality of the Site or our systems.
  • Not attempt to gain unauthorized access to any part of the Site, our servers, or our networks.
  • Not transmit any viruses, malware, or other harmful code through the Site or our communication channels.
  • Respect the intellectual property rights of Zi Mu and any third parties whose materials are provided through the Services.

We reserve the right to suspend or terminate access to the Site or Services for any violation of these obligations.

Payment Terms

Fees for Services are specified in the applicable project agreement or SOW. Unless otherwise stated:

  • Invoices are issued according to the payment schedule defined in the project agreement.
  • Payment is due within 30 calendar days of the invoice date.
  • Late payments may accrue interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.
  • All fees are exclusive of applicable taxes, which shall be the Client's responsibility unless a valid exemption certificate is provided.
  • We reserve the right to suspend work or withhold deliverables if payment is not received when due.

Confidentiality

During the course of an engagement, each party may receive or have access to confidential information of the other party (Confidential Information). Confidential Information includes, but is not limited to, business plans, technical specifications, source code, client data, trade secrets, financial data, and any information designated as confidential in writing.

Each party agrees to:

  • Protect the other party's Confidential Information using at least the same degree of care as it uses for its own confidential information.
  • Use Confidential Information solely for the purpose of performing obligations under the applicable project agreement.
  • Not disclose Confidential Information to any third party without prior written consent, except as required by law.

These confidentiality obligations survive termination of the agreement for a period of three (3) years, or indefinitely for information that constitutes a trade secret under applicable law.

Limitation of Liability

To the fullest extent permitted by applicable law:

  • Zi Mu shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business opportunities, arising out of or related to the Site or Services, whether based on contract, tort, negligence, strict liability, or otherwise.
  • Our total aggregate liability for any claim arising out of or related to the Site or Services shall not exceed the total fees paid by you to Zi Mu during the twelve (12) months preceding the event giving rise to the claim, or one thousand US dollars (USD $1,000), whichever is greater.
  • The limitations in this section do not apply to liability arising from gross negligence, willful misconduct, fraud, or any liability that cannot be excluded or limited under applicable law.

Disclaimers

The Site and all content, materials, and information provided through it are made available on an as is and as available basis, without any warranties of any kind, either express or implied. Zi Mu expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. We make no representations regarding the accuracy, completeness, or reliability of any content on the Site.

Termination

Either party may terminate a project agreement in accordance with the termination provisions specified therein. In the absence of specific termination terms:

  • Either party may terminate upon 30 calendar days' written notice for any reason.
  • Either party may terminate immediately upon written notice if the other party commits a material breach and fails to cure it within 15 calendar days of receiving notice of the breach.
  • Upon termination, the Client shall pay for all Services rendered up to the effective date of termination. Any provisions that by their nature should survive termination — including intellectual property, confidentiality, limitation of liability, and dispute resolution — shall continue in effect.

Governing Law

These Terms and any dispute arising out of or relating to them shall be governed by and construed in accordance with the laws of the People's Republic of China, specifically the laws of Guangdong Province, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply.

Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or our Services, the parties shall first attempt to resolve the matter amicably through good-faith negotiations.

If the dispute cannot be resolved through negotiation within 30 calendar days, either party may refer the matter to mediation administered by a mutually agreed mediator in Guangzhou, Guangdong. If mediation is unsuccessful, the dispute shall be submitted to binding arbitration in Guangzhou, Guangdong, in accordance with the rules of the China International Economic and Trade Arbitration Commission (CIETAC) South China Sub-Commission.

The arbitration shall be conducted in Chinese or English, as mutually agreed. The arbitral award shall be final and binding, and judgment upon the award may be entered in any court of competent jurisdiction.

Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will post the updated Terms on this page and update the effective date above. For ongoing client engagements, material changes to these Terms will not apply retroactively to existing project agreements without mutual consent.

Continued use of the Site or Services after changes are posted constitutes acceptance of the updated Terms. We encourage you to review this page periodically.
